These Terms of Service govern your use of vertexstrategix.com and any services you purchase from Vertex Strategix LLC. By using this website or engaging us, you agree to these Terms.
Vertex Strategix LLC is a Wyoming limited liability company providing marketing and growth services. Our work includes paid media buying and management on platforms such as Meta, TikTok and Google, creative strategy and production, copywriting, messaging and positioning strategy, landing page and funnel development, email marketing, conversion rate optimisation, CRM and marketing automation setup, and related consulting.
The specific services we provide to you, the deliverables, the fees, the timeline and the term are set out in a separate written agreement, proposal or statement of work signed by both parties. That agreement governs the engagement. Where it conflicts with these Terms, that agreement takes precedence.
Nothing on this website is a binding offer. Prices shown on the website are indicative starting points and may change.
To deliver our services we need timely input from you. You agree to provide accurate information about your business, reasonable access to any accounts, platforms or assets required, and prompt review and approval of work submitted. You are responsible for the accuracy and legality of any claims, testimonials or materials you ask us to publish on your behalf.
Where we manage advertising accounts, advertising spend is paid by you directly to the platform and is separate from our fees, unless your agreement says otherwise.
Fees, payment schedules and invoicing terms are set out in your agreement. Invoices are payable on the terms stated. We may pause work on overdue accounts. Payments are processed by third-party payment processors, and you agree to their terms when paying.
We provide professional marketing services based on research, experience and testing. The case studies and figures shown on this website are real results achieved for real clients. They are examples, not promises. We do not guarantee any specific revenue, lead volume, return on ad spend, conversion rate, ranking or business outcome. Results depend on your market, your offer, your pricing, your sales process, your budget, your team and factors outside our control, including changes made by advertising platforms.
All content on this website, including copy, graphics, logos and the Vertex Strategix name and marks, is our property and may not be reproduced without written permission.
On full payment of all fees due, ownership of the final deliverables created specifically for you transfers to you. We retain ownership of our underlying methods, frameworks, templates, processes and any pre-existing materials, and we may reuse those on other engagements. We may reference our work for you in our portfolio and case studies unless you ask us in writing not to.
Each party agrees to keep the other's confidential business information private and to use it only for the purposes of the engagement. This obligation survives the end of the engagement.
Our services rely on third-party platforms including advertising networks, CRM, email and hosting providers. We are not responsible for their availability, pricing, policy changes, account suspensions or actions. You remain responsible for complying with each platform's terms and advertising policies.
To the fullest extent permitted by law, Vertex Strategix LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, arising from our services or this website. Our total aggregate liability for any claim is limited to the fees you paid us in the three months immediately before the event giving rise to the claim.
Either party may terminate an engagement in line with the notice period stated in the signed agreement. On termination you remain liable for all fees for work performed and commitments made up to the termination date. Please see our Refund and Cancellation Policy.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute will be brought in the courts of the State of Wyoming.
We may update these Terms. The date at the top shows the current version. Continuing to use the website or our services after a change means you accept it.
